Abstract

This study provides an in depth analysis of high impact negotiation in million dollar corporate contracts, highlighting the critical success factors applicable to the Brazilian context. The research was carried out through a qualitative literature review, exploring academic and technical publications in full, with emphasis on articles and reports addressing governance, performance indicators and monitoring practices. The results show that the structuring of internal methodologies and the integration between legal, financial and operational teams directly contribute to building solid and efficient contracts. It was identified that defining objective indicators, inserting independent audit clauses and adopting alternative dispute resolution mechanisms increase predictability and reduce risks throughout contract execution. It was also noted that innovation sectors, such as smart startups and e commerce, demonstrate greater flexibility and apply periodic reviews to keep pace with technological and market changes, maintaining balance between the parties. The practical application of critical success factors allows companies to consolidate internal processes and ensure sustainability of agreements, resulting in greater market credibility and greater capacity to attract investors. It was further observed that the use of digital platforms for data recording and monitoring strengthens governance and promotes transparency, making the follow up of obligations more agile and secure. The findings demonstrate that success in high impact corporate negotiations depends on detailed planning, application of clear metrics and continuous learning, consolidating a scenario in which contracts become central elements of organizational strategy rather than mere legal instruments.
